1About these terms
These LAPM General Terms and Conditions (“Terms”) are the general terms that apply to Products and Services provided by LAPM from time to time.
These Terms, together with the applicable Subscription Details, Order Form, Product-Specific Terms, Privacy Policy and any other materials or documents expressly incorporated into the Agreement, form the agreement between You and LAPM (“Agreement”).
Additional or different terms may apply to particular Products, Services, features, integrations or other offerings. Where applicable, those terms will be identified in the relevant Product-Specific Terms, Order Form, Subscription Details or other applicable documentation.
By completing an online subscription, accepting an Order Form, accessing or using a Product or Service, or otherwise accepting the Agreement, You agree to be bound by these Terms and the other terms applicable to Your purchase or use.
These Terms are intended to provide the general contractual framework and do not contain all terms that may apply to a particular Product or Service.
2The platform and licence
LAPM OS is a cloud-based legal practice-management platform that may include matters, contacts, documents, precedents, tasks, calendars, time and billing, trust and office financials, compliance, reporting and integrations.
Subject to the Agreement and payment of applicable fees, LAPM grants You a non-exclusive, non-transferable right for You and Your Users to access and use LAPM OS for Your internal business purposes during the applicable Term.
The specific Products, Services, Users, subscription arrangements and fees applicable to You are set out in the relevant Subscription Details or Order Form.
LAPM may update, improve or modify LAPM OS from time to time, including to address security, legal, technical or operational requirements. LAPM will not materially reduce the core functionality of a paid feature during a paid Term without reasonable notice.
3Accounts, users and security
You are responsible for setting up and managing Your Users, including their roles and permissions, and for all activity undertaken through Your account.
Users must keep their credentials confidential and must not share login details. You must notify LAPM promptly of any suspected unauthorised access, compromised credentials or security incident relating to Your account.
You are responsible for ensuring that Your Users are authorised to access LAPM OS and comply with the Agreement.
You are responsible for the security of Your account, Devices and systems used to access LAPM OS and for maintaining appropriate safeguards against unauthorised access.
4Your data and our role
As between You and LAPM, You retain ownership of all data, information, documents and other material that You or Your Users enter into, upload to or otherwise store in LAPM OS (“Your Data”), including matter, client, document and financial data.
You grant LAPM the rights reasonably necessary to host, store, process, transmit, reproduce and otherwise use Your Data to provide, maintain, support and secure LAPM OS and any integrations or Services enabled by You, provide agreed Data Transition Services, comply with Law and otherwise perform the Agreement.
You are responsible for the accuracy, quality, completeness and legality of Your Data, for having the necessary rights to provide it to LAPM and for obtaining any consents required from Your clients or third parties.
LAPM will handle personal information in accordance with applicable Privacy Laws and the LAPM Privacy Policy.
5Acceptable use
You must not, and must ensure Your Users do not:
- use LAPM OS unlawfully, or to store or transmit unlawful, infringing, malicious or harmful material;
- attempt to gain unauthorised access to, disrupt or compromise LAPM OS or its security;
- reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying structure of LAPM OS, except to the extent permitted by Law;
- copy, modify, reproduce, create derivative works from, distribute, sublicense, resell or commercialise LAPM OS except as expressly permitted by the Agreement;
- provide access to LAPM OS to third parties except where expressly permitted by the Agreement or in the ordinary course of Your legal practice;
- use LAPM OS to build or provide a competing product or service; or
- use LAPM OS to send unsolicited, unlawful or harmful communications.
LAPM may suspend or restrict access where reasonably necessary to protect the security or integrity of LAPM OS, comply with Law, address a breach of the Agreement or protect LAPM, You or another User.
6Professional responsibility, trust accounting and compliance
LAPM OS is a tool to assist Your practice. It is not a substitute for Your professional judgement or Your legal, regulatory, accounting, tax, ethical or other professional obligations.
You remain solely responsible for compliance with all Laws and professional rules that apply to Your practice, including legal-profession trust-accounting rules, anti-money-laundering and counter-terrorism financing obligations, costs disclosure, taxation, payroll and record-keeping requirements.
You are responsible for reviewing and verifying all outputs, calculations, reports, records and other information generated using LAPM OS before relying on them.
Important: Nothing in LAPM OS, including calculators, tax or duty estimates, statutory-rate data, compliance features and AI outputs, constitutes legal, financial, accounting, tax or other professional advice, and information provided through the Platform may not reflect the most current Law. You must verify information before relying on it.
7AI features
LAPM OS may include optional AI-assisted features.
AI output may be inaccurate, incomplete or unsuitable for Your circumstances and must be reviewed and validated by an appropriately qualified person before use.
You are responsible for how You use AI output.
The handling of information in connection with AI features is subject to the LAPM Privacy Policy and applicable Product-Specific Terms.
8Third-party services and integrations
LAPM OS may connect to third-party or related services, including LAPM Products, accounting platforms, email providers and other integrations.
Integrations may be subject to separate terms and conditions imposed by the relevant provider.
LAPM is not responsible for third-party services to the extent they are outside LAPM's reasonable control and may modify, replace or discontinue an integration where a third-party provider changes, withdraws or no longer supports the relevant service.
9Fees and payment
Fees, subscription arrangements, Users, Term and payment terms are set out in the applicable Subscription Details or Order Form.
Unless otherwise stated, fees are exclusive of GST and are payable in accordance with the applicable Subscription Details or Order Form.
LAPM may adjust fees on renewal by providing reasonable prior notice.
Late or unpaid amounts may result in suspension in accordance with the Agreement.
10Intellectual property
LAPM and its licensors own all intellectual property rights in LAPM OS, its Software, Content, documentation, technology and related materials, excluding Your Data.
The Agreement grants You a right to use LAPM OS only and does not transfer ownership of any LAPM intellectual property.
Feedback provided by You may be used by LAPM to improve its Products and Services without obligation to You.
11Confidentiality
Each party must keep the other's Confidential Information confidential and use it only as necessary to perform the Agreement, except where disclosure is required or permitted by Law.
Your Data is Your Confidential Information.
The confidentiality obligations do not apply to information that is publicly available other than through a breach of confidentiality, was already lawfully known, is independently developed or is lawfully obtained from another source without confidentiality obligations.
12Availability, suspension and support
LAPM aims to provide its Products reliably but does not warrant uninterrupted or error-free operation.
LAPM may carry out maintenance and may suspend access where reasonably necessary for security, legal, operational or payment reasons, giving notice where practicable.
Support is provided in accordance with the applicable Product, subscription plan, Subscription Details or Order Form.
13Warranties and consumer law
To the maximum extent permitted by Law, Products and Services are provided “as is” and “as available”, and LAPM excludes all implied warranties.
Nothing in the Agreement excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or other Law that cannot lawfully be excluded, restricted or modified.
Where LAPM's liability for a failure to comply with an Australian Consumer Law consumer guarantee can lawfully be limited, it is limited to the extent and in the manner permitted by that Law.
14Limitation of liability
Subject to applicable Law and the Australian Consumer Law, LAPM's liability is limited in accordance with the applicable liability provisions of the Agreement.
Neither party is liable for loss that cannot lawfully be excluded or limited.
15Indemnity
Where an indemnity applies to a Product or Service, the applicable indemnity provisions will be set out in the relevant Product-Specific Terms, Order Form or other applicable agreement.
16Term, termination and your data
The Agreement applies for the applicable Term unless terminated earlier in accordance with the Agreement.
Either party may terminate where permitted under the applicable terms.
On termination or expiry, Your right to access and use the relevant Product ends, subject to any applicable data exit or retrieval rights.
Your Data will be handled following termination in accordance with the applicable Data Exit provisions, Privacy Policy and any applicable legal or regulatory retention requirements.
17Changes to these terms
LAPM may update these Terms from time to time to reflect changes to Products, Services, technology, Law or LAPM's business.
LAPM will provide reasonable notice of material changes where practicable.
Product-Specific Terms, Subscription Details and Order Forms may contain additional provisions regarding changes applicable to a particular Product or Service.
18Which terms apply
The Agreement may include:
- these General Terms and Conditions;
- Your Subscription Details;
- an applicable Order Form;
- applicable Product-Specific Terms;
- the LAPM Privacy Policy; and
- any other materials or documents expressly incorporated into the Agreement.
Where there is an inconsistency, the following order of precedence applies unless otherwise stated:
- expressly negotiated written terms agreed between You and LAPM;
- the applicable Order Form or Subscription Details;
- applicable Product-Specific Terms; and
- these General Terms and Conditions.
Product-Specific Terms relating to Products or Services You have not acquired do not apply to You.
19General
Neither party is liable for a failure or delay caused by an event beyond its reasonable control.
You may not assign the Agreement without LAPM's consent. LAPM may assign or transfer the Agreement in connection with a restructure, sale, merger, acquisition or transfer of its business and may subcontract its obligations.
If any provision of the Agreement is unenforceable, the remaining provisions continue to apply.
A failure to enforce a right is not a waiver of that right.
The Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes prior agreements or understandings relating to that subject matter, except for documents expressly incorporated into the Agreement.
20Governing law
The Agreement is governed by the laws of Queensland, Australia.
The parties submit to the exclusive jurisdiction of the courts of Queensland, Australia and courts entitled to hear appeals from those courts.
